U.S. Producer Compensation

Insurance Producers

Insurance products offered by Coalition are available through our network of independent insurance agents and brokers, collectively referred to as Producers. Producers are not Coalition employees, but advise and consult with commercial insurance buyers and may receive compensation for the sale and service of policies placed with Coalition Insurance Solutions, Inc. (“CIS”) in the United States. Producers may also be compensated by affiliates of CIS in connection with the sale of certain cybersecurity related products. Base Commission

We typically pay Producers a fixed Base Commission on issued policies placed with CIS, on both new and renewal placements. The Base Commission is usually a fixed percentage of the premium a policyholder pays set at the time of each purchase or renewal of a particular insurance policy.

Contingent Commission

In addition to receiving a Base Commission, a Producer may be eligible to earn a Contingent Commission. Contingent Commission can be earned based on a Producer’s performance with us over a specific time period.

Business Production Incentive Programs

At times we may provide Producers or their employees the opportunity to receive additional compensation for placing specific types of policies with us, helping us pursue new insurance business opportunities with their customers, or in connection with non-insurance products. We typically may compensate Producers by paying additional commission or a specific dollar amount on new policies that we sell as a result of these agreements.

Examples of incentives designed to encourage the placement of new business with us include but are not limited to: (1) a book roll or book transfer – an agreement by a Producer to move policies from a specified insurance company to us – is one type of business production incentive program; (2) a new business override – an increase in compensation for new policies in one or more product lines for a defined period of time; and (3) a sales contest – where cash or other prizes are awarded to producers or their employees for quotes submitted and/or policies written with us.

Promotional Expense Reimbursements and Other Expenses

We may also reimburse or advance certain Producers' expenses relating to marketing activities. We may, from time to time, provide office space, equipment and other benefits, and may reimburse a Producer's advertising costs, travel to and attendance at Coalition-sponsored conferences or events, training expenses, or the costs of other goods and services that help to promote our company’s products.

Strategic Relationships

There may be situations where, based on our exceptional product offerings and the level and scope of service we can provide to insureds, CIS may be selected by Producers to participate on a panel or be part of a book consolidation. In connection with these opportunities, we may be provided with an enhanced opportunity to quote certain segments or classes of business. For any business CIS writes in connection with these opportunities, CIS may pay additional compensation to the Producer.

Fees for Services

We may pay fees to a limited number of Producers for services they provide to us. These fees may be a fixed amount, or the fee may vary depending on premium volume or other factors we establish. The Producer may perform a range of services for us, including, but not limited to, providing: (1) consulting services; (2) access to platforms that provide analytics with regard to business submitted to us by that Producer as well as other metrics regarding our market performance; and (3) information that will assist us in improving our offerings to better meet the needs of our customers.

Non-Insurance Products

From time to time affiliates of CIS (including Coalition Incident Response) may provide Producers or their employees the opportunity to receive additional compensation for the sale of certain cybersecurity related products with us, helping us pursue new business opportunities with their customers, or performing other cybersecurity tasks. Typically we may compensate Producers by paying additional compensation or a fixed dollar amount based on the amount of cybersecurity products that we sell in connection with these opportunities.
